Terms of Service

1. Agreement

By accessing or using Close → Clay Sync at clay.closekit.com (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Nick Persico ("I", "me", or "my").

2. Description of Service

Close → Clay Sync is a tool that connects your Close CRM account to Clay workbooks via webhooks. It reads Lead and Contact records from your Close account and forwards them to a Clay webhook URL you provide. The Service is not officially affiliated with, endorsed by, or supported by Close CRM or Clay.

3. Eligibility

You must have a valid Close CRM account and a Clay account to use the Service. By using the Service, you represent that you have the authority to connect those accounts and to authorize the Service to read data from Close on your behalf.

4. Your Responsibilities

• You are responsible for the accuracy of any webhook URLs and sync configurations you provide.
• You are responsible for ensuring your use of the Service complies with Close's and Clay's terms of service.
• You must not use the Service for any unlawful purpose or in a way that could harm others.
• You are responsible for maintaining the security of your Close account credentials.

5. Data Access

The Service accesses your Close account using OAuth 2.0. You may revoke this access at any time through your Close account settings. Revoking access will prevent future syncs but will not delete data already forwarded to Clay.

6. Availability

The Service is provided on an "as available" basis. I do not guarantee any specific uptime or reliability. Sync jobs may be delayed, interrupted, or fail due to issues with the Service, Close's API, Clay's webhook endpoint, or third-party infrastructure. I reserve the right to modify, suspend, or discontinue the Service at any time without notice.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. I DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, I SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Changes to Terms

I may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

10. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions.
